CFI HOLDING S.A.: Conclusion of a Significant Agreement
Pursuant to § 5 sec. 1 point 3 of the Regulation of the Minister of Finance of February 19, 2009, regarding current and periodic information provided by issuers of securities, the Management Board of INTAKUS S.A. (the “Issuer”) informs that Central Fund of Immovables sp. z o.o., a subsidiary of the Issuer, on December 23, 2014, concluded a preliminary agreement for the sale of real estate, under which it undertook to acquire, free of any encumbrances, the right of perpetual usufruct of the property located at al. Politechniki 22/24 and 30A in Łódź, consisting of plots 5/1 and 5/10 with a total area of 4,220 m², together with ownership of the building located thereon, constituting a separate property, registered under Land and Mortgage Register No. LD1M/00087587/5, for a transaction price of PLN 1,115,000 gross, of which a deposit of PLN 111,500 was paid by the subsidiary upon signing the preliminary agreement. The date for execution of the final agreement is set no later than June 30, 2015.
Other terms of the agreement do not deviate from standard market practices for this type of contract. The agreement regarding the payment of the purchase price is not subject to any condition or deadline, nor does it include contractual penalties.
The value of the agreement exceeds 10% of the Issuer’s equity, and therefore it qualifies as a significant agreement.
