CFI HOLDING S.A.: Disposal of assets by a subsidiary of the Issuer

Pursuant to § 5 section 1 point 1 of the Regulation of the Minister of Finance of February 19, 2009, on current and periodic information provided by issuers of securities and on the conditions for recognizing information required under the law of a non-member state as equivalent, the Management Board of INTAKUS S.A. (Issuer, Company) with its registered office in Wrocław, informs that a subsidiary of the Issuer, namely Central Fund of Immovables sp. z o.o. with its registered office in Łódź, on December 30, 2014, concluded before notary Mariusz Wróblewski at the Notary Office at ul. Sienkiewicza 33/1 in Łódź, a sales agreement for a share amounting to 9,111/26,784 (nine thousand one hundred eleven twenty-six thousand seven hundred eighty-fourths) of the right of perpetual usufruct of the developed property located in Łódź at ul. Wróblewskiego 16/18 and without number and ul. Skrzywana 25, with a total area of 2.6784 ha, including the plot with cadastral number 3/13 in the G-2 precinct, for which the District Court for Łódź – Śródmieście in Łódź, XVI Land and Mortgage Registry Division, maintains land and mortgage register no. LD1M/00089899/9, together with ownership shares in the buildings and structures located thereon, for the price of PLN 16,700,000.00 (in words: sixteen million seven hundred thousand zlotys), to Glob Investment Sp. z o.o. with its registered office in Łódź. The transaction price was paid prior to the conclusion of the sale agreement.

Under the provisions of the aforementioned agreement, the purchaser of the share, i.e., Glob Investment Sp. z o.o. with its registered office in Łódź, was granted the right to exclusive use of the part of the property located in Łódź at ul. Wróblewskiego 16/18 and without number and ul. Skrzywana 25, covering part of the plot with cadastral number 3/13 in the G-2 precinct and the buildings located thereon, to the extent specifically defined in the agreement and described on a map prepared by a licensed surveyor, attached to the notarial deed. Furthermore, the parties undertook to exercise due diligence to terminate the co-perpetual usufruct of the land and co-ownership of the buildings in accordance with the division for use, without any payments or additional charges arising from the termination of co-perpetual usufruct and co-ownership of buildings, and with a waiver of any claims in this regard.

Central Fund of Immovables sp. z o.o. with its registered office in Łódź also undertook to obtain the consent of mortgage creditors for the release of the subject of the sale from the current mortgage encumbrances on the property located in Łódź at ul. Wróblewskiego 16/18 and without number and ul. Skrzywana 25, covering the plot with cadastral number 3/13, no later than June 30, 2015.

On the part of the property designated for use by Glob Investment Sp. z o.o., there is a production hall.

There are no personal or capital ties between Central Fund of Immovables sp. z o.o. and Glob Investment Sp. z o.o.

The remaining terms of the agreement do not deviate from the terms commonly applied to this type of agreement.

The value of the agreement exceeds 10% of the Issuer’s equity, thus meeting the criteria for recognition as a significant agreement.
