Pursuant to § 5 sec. 1 point 3 of the Regulation of the Minister of Finance of February 19, 2009, regarding current and periodic information provided by issuers of securities, the Management Board of INTAKUS S.A. (the “Issuer”) informs that on December 22, 2014, the Issuer concluded an agreement with Towarzystwo Budownictwa Społecznego Nasze Kąty Sp. z o.o. with its registered office in Łódź for the transfer of the right of perpetual usufruct of real estate as a debt settlement (datio in solutum).

The property is located in Bełchatów and consists of a plot numbered 585, with an area of 0.1655 hectares, along with ownership of the building and facilities on that property, registered under Land and Mortgage Register No. PT1B/00034352/1.

The agreement was executed to discharge the Issuer from a debt of PLN 13,500,000 (thirteen million five hundred thousand zlotys) owed by the Issuer to Towarzystwo Budownictwa Społecznego Nasze Kąty Sp. z o.o.

The agreement was concluded without conditions and does not contain provisions regarding contractual penalties. Other terms of the agreement are consistent with standard market practices for agreements of this type.

The value of the agreement exceeds 10% of the Issuer’s equity, and therefore it qualifies as a significant agreement.
